Terms of Service

The following are the proprietary intellectual property of Sharpe Group, Inc. Purchasing access licenses their use — it does not transfer ownership of the content.

• The Governance Manual
• The Execution Modules
• Sharpe Group, Inc. frameworks
• Methodologies, templates, and implementation structures
• The SAGE system and its navigation methodology
• Diagrams
• Graphics
• Written materials
• All related proprietary content

The license is limited to the purchasing organization and its authorized internal use.

Licensed materials may not be:

• Resold
• Redistributed
• Publicly posted
• Copied without authorization
• Uploaded in substantial form to public AI systems
• Used to create competing commercial products

You may not circumvent, or attempt to circumvent, the licensing and access controls that determine what your plan includes.

Enterprise SAGE deals are set up individually rather than through self-serve checkout, and may carry additional or custom terms specific to the organization agreed to in writing.

SAGE and the Sharpe Group, Inc. materials are not a substitute for legal, financial, tax, accounting, engineering, or other regulated professional advice, and must not be relied on as such. Nothing provided through them creates a professional-client relationship of any kind.

Where a decision carries legal, financial, regulatory, or safety consequences, you are responsible for obtaining advice from a qualified professional licensed in the relevant jurisdiction before acting.

You are responsible for:

• Keeping your access code and account credentials confidential, and not sharing them outside the licensed organization
• Providing accurate and current information when acquiring a license, subscribing, or contacting support
• Using the licensed materials and SAGE only as permitted by these Terms and the SAGE Acceptable Use Policy
• All activity that takes place under your account, and for notifying us promptly at support@sharpe-group.com if you believe it has been accessed without your authorization

Framework licenses (Governance Manual, Execution Modules, and bundles) are one-time purchases. SAGE plans are recurring subscriptions, billed on a monthly cycle. See our Refund & Cancellation Policy for how each is handled.

Sharpe Group, Inc. may suspend or terminate access to the licensed materials, to SAGE, or to the platform where these Terms or the SAGE Acceptable Use Policy have been violated — including unauthorized copying or redistribution, sharing of access outside the licensed organization, circumvention of access controls or plan limits, or unlawful or abusive use.

Where circumstances reasonably allow, we will give notice and an opportunity to resolve the issue first. Suspension or termination for a violation does not entitle you to a refund, and the restrictions in these Terms continue to apply to any materials already in your possession.

Sharpe Group, Inc. does not guarantee specific business results from the use of its licensed materials or SAGE.

To the fullest extent permitted by law, Sharpe Group, Inc. will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the licensed materials, SAGE, or the platform — whether based in contract, tort, or any other legal theory, and even if advised of the possibility of such damages.

To the fullest extent permitted by law, the total aggregate liability of Sharpe Group, Inc. for all claims arising out of or relating to these Terms, the licensed materials, SAGE, or the platform will not exceed the total amount you paid to Sharpe Group, Inc. in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms, the licensed materials, or SAGE will be resolved in the state or federal courts located in Florida, and you consent to the personal jurisdiction and venue of those courts — or, where both parties agree in writing, by binding arbitration seated in Florida.
